ProTips Terms of Service

These ProTips Terms of Service constitute a legal agreement between you and Maruna AI Inc. (hereinafter "Company"), and by accessing or using the ProTips platform and its related services (hereinafter collectively referred to as "Services") provided by the Company, you are deemed to have agreed to all provisions of these Terms. Accordingly, you shall be legally bound by these Terms.

The Services include all technical means provided under the ProTips name, including websites, mobile applications, APIs, content creation and sharing features, communication tools, artificial intelligence-based processing systems, and the Company may freely add, modify, or improve such components according to technological advancement and business strategy. Such changes will be notified to you through these Terms or separate notices.

ProTips is a content platform designed around the core functionality of automatically detecting, editing, and recording users' golf swings using artificial intelligence technology. You simply need to perform your swing in front of the camera, and the entire content creation process is automatically handled by our AI system. Based on this user experience, the Company creates a content ecosystem and may operate various types of paid services and third-party linkage models such as advertising, brand campaigns, and partnership content.

These Terms apply equally not only to individual users but also when using the service on behalf of companies, organizations, corporations, or other legal entities. If you use the service on behalf of a specific organization, you represent and warrant that you have been lawfully granted the authority to be legally bound by these Terms on behalf of such organization, and such organization is also deemed to have agreed to these Terms through your actions.

A. Before Starting to Use ProTips

1. What These Terms Are About

These Terms establish the conditions for using the ProTips platform and its related services (hereinafter collectively referred to as "Services") provided by Maruna AI Inc. (hereinafter "Company") and constitute a legal agreement governing the rights and obligations between you and the Company. By accessing or using the Services, you are deemed to have agreed to all provisions of these Terms and shall be legally bound by these Terms accordingly. Conversely, if you do not agree to these Terms, you may not access or use the Services.

ProTips Services are primarily provided to users aged 14 and above, and you must have the authority to lawfully use this Service under the laws of your jurisdiction of residence. The Company may separately establish detailed criteria regarding age requirements and eligibility qualifications to meet the personal information protection and legal responsibility requirements for minors in accordance with relevant laws such as the "Act on Promotion of Information and Communications Network Utilization and Information Protection" and the "Personal Information Protection Act." If you are confirmed to be under 14 years of age or use the service without meeting such requirements, the Company may delete your account or restrict usage without separate notice.

If you use the service on behalf of a company, organization, corporation, or other legal entity (hereinafter "corporation, etc."), you must have legitimate authority to legally bind such corporation, etc. to these Terms, and such corporation, etc. is also deemed to have agreed to these Terms through your actions. If you use the service without legitimate authority or create an account or use the service in a false or fraudulent manner, such as unauthorized use of another person's name or information, all legal responsibility arising therefrom shall be entirely attributed to you.

In these Terms, "you" means all natural persons or corporations using ProTips Services, and you are the subject of application of these Terms and the holder of rights and obligations thereunder. However, when you use specific services such as advertiser dashboards or expert-only features, separate individual terms or subsidiary terms provided for such features may apply, and in case of conflict between these Terms and individual terms, the relevant subsidiary terms shall take precedence.

2. How Your Personal Information Is Protected

The Company lawfully collects, uses, stores, and processes your personal information in accordance with the "Personal Information Protection Act" and related laws, and specific matters such as collection items, processing purposes, retention periods, third-party provision, and overseas transfer are clearly disclosed through the Company's separately posted Privacy Policy. You may review such policy at any time, and when there are major changes to the policy, the Company provides advance notice through in-service notifications, email, or methods the Company deems appropriate. If you continue to use the service after such notice, you are deemed to have agreed to the changed policy.

The Company collects only the minimum personal information within the scope of legitimate purposes such as service provision, infrastructure maintenance, and feature improvement, and does not provide personal information to third parties or use it for purposes unrelated to essential service provision without your explicit and specific prior consent. However, in cases where information provision or processing is exceptionally permitted by law, it may be processed exceptionally in accordance with relevant regulations.

In the course of service provision, some personal information may be stored on servers or cloud infrastructure located in countries outside the Republic of Korea or accessed remotely from such infrastructure due to the Company's business outsourcing or technical necessity. In such cases, the Company secures your prior consent according to procedures prescribed by relevant laws and implements technical and administrative protective measures necessary for international transmission and storage of personal information.

You must ensure that the personal information provided to the Company is accurate and up-to-date, and when changes occur in the information, you must promptly correct and update it. Any disadvantages or legal responsibility arising from your provision of inaccurate or false information or negligence in updating information shall be entirely attributed to you.

The Company continuously implements reasonable technical and administrative protective measures to prevent personal information from being accessed, used, leaked, altered, or destroyed without authorization and faithfully complies with protection obligations prescribed by relevant laws. However, the Company shall not bear legal responsibility for infringement caused by illegal acts of third parties without the Company's fault, natural disasters or other force majeure circumstances, or your intentional or negligent actions.

3. Guidelines for Account Creation and Management

ProTips Services are provided on an account basis, and you must create a valid user account or log in using external authentication means (Google, Apple, etc.) provided by the Company to use this Service. When you log in through external authentication means, you are deemed to have agreed to the terms and privacy policies of the relevant authentication provider, and the Company shall not be responsible for damages that may occur to you due to operational issues, security settings, policy changes, etc.

In using the service through your account, you are responsible for maintaining account information accurately, securely managing related credentials (e.g., passwords, authentication codes, two-factor authentication means, etc.), and maintaining sufficiently strong authentication settings for account security. If your authentication information is lost, leaked, or used without authorization or stolen, damages arising therefrom shall be attributed to your own responsibility.

If you share your account information with third parties, intentionally bypass or circumvent authentication procedures, or use another person's account without legitimate authority, the Company shall not bear any responsibility for any legal or property damages arising therefrom. When your account information or related authentication means are no longer valid, you must promptly update such information, and all disadvantages arising from failure to do so are also your responsibility.

Your account is personally granted to you and cannot be transferred, lent, or shared to third parties. To maintain account integrity and security, the Company may take reasonable measures such as restricting your service access or temporarily suspending or permanently terminating your account when unauthorized use of the account is suspected or significant violations of these Terms or the Company's policies are confirmed.

The Company may directly notify you of information essentially necessary for service use, such as these Terms, Privacy Policy, security warnings, and system failure notifications, and such notifications correspond to essential elements of service provision and are provided regardless of your refusal to receive them. However, notifications of optional information such as marketing, advertising, and promotions are provided according to your prior consent to receive them.

B. Your Content and Rights, and Our Role

4. Your Responsibility and Restrictions Regarding Posts

All content (including videos, images, text, audio, etc.) that you create, upload, post, or transmit through ProTips Services is entirely your responsibility, and you must exercise sufficient care in advance to ensure that such content does not violate relevant laws, social norms, these Terms, and the Company's operating policies. All civil and criminal legal responsibility arising from content you post shall be entirely attributed to you.

Content displayed or distributed on ProTips Services reflects the subjective opinions or interpretations of the respective poster, and the Company provides no express or implied warranties regarding its truthfulness, accuracy, completeness, usefulness, or fitness for a particular purpose. You may be exposed to various views, technical explanations, expression methods, or values in the course of using the service, and you acknowledge and agree that any discomfort, disagreements in interpretation, or confusion arising therefrom are areas you must bear yourself.

While the Company does not generally conduct prior censorship of content posted by users, it may take measures to review, restrict, make private, delete, or exclude from search such content without prior notice when any of the following items apply, and when necessary, may report to relevant investigative agencies or supervisory authorities: (i) when it infringes or is likely to infringe copyrights, trademark rights, portrait rights, publicity rights, or other third-party rights, (ii) when it infringes others' rights or safety through defamation, impersonation, false fact dissemination, hate speech, threats, harassment, etc., (iii) when it contains information that is significantly inappropriate according to social norms, such as obscene material, self-harm encouragement, extremism, excessive violence depiction, etc., (iv) when it seriously threatens community order and user safety through dissemination of illegal information, criminal acts, acts contrary to public order or morals, etc.

While the Company principally respects autonomous content creation and sharing among users, it may take technical measures such as exposure restriction, visibility adjustment, or other technical measures for content that may distort system functions or infringe the platform environment to maintain technical stability, operational efficiency, and community order of the service, and you agree not to raise objections thereto.

If you violate this provision, the Company may take reasonable measures including warning measures, content restriction, temporary suspension or permanent termination of accounts without separate prior notice to you, and such judgment is entirely at the Company's discretion. You agree not to raise objections or claims for damages compensation even if service use is restricted or damages occur as a result, and all legal responsibility arising from violation of this provision shall be entirely attributed to you.

5. Your Content Rights and ProTips' Scope of Use

You retain copyrights and other intellectual property rights to all content (including videos, images, text, audio, etc.) that you upload, post, or transmit through ProTips Services, and the Company does not claim ownership of such content. However, when you post or share content through this Service, you are deemed to have granted the Company and its affiliates a worldwide, non-exclusive, royalty-free license to use such content within the scope necessary for essential purposes such as service provision, operation, maintenance, feature improvement, algorithm learning, and personalized recommendation system advancement.

Such license includes (i) reproducing, storing, editing, converting, or translating part or all of the content, (ii) exposing it to affiliated platforms, search systems, or technical modules within the service, and (iii) all acts for implementing service functions such as automatic generation and processing in thumbnail or preview format. However, when the Company intends to use such content in ways that exceed essential purposes such as external marketing, advertising, commercial sales, etc., the Company will make reasonable efforts to obtain your prior explicit consent.

Such content may be processed and exposed within the service in forms such as segmentation, sorting, automatic recommendation, thumbnail generation, etc. for system operation and technical processing purposes regardless of whether it is public, and you agree not to raise objections thereto.

You must possess legitimate rights, valid licenses, or explicit consent from third parties to lawfully use all content you post or transmit to the service, and must warrant that you do not infringe copyrights, portrait rights, personality rights, publicity rights, or other third-party rights in the process. All civil and criminal responsibility arising from posting or using content without securing such rights shall be entirely attributed to you, and the Company shall not bear any legal responsibility therefor.

The Company faithfully complies with domestic and international intellectual property-related laws including the U.S. "Digital Millennium Copyright Act (DMCA)," and when receiving legitimate notices regarding infringement from official rights holders, may temporarily block or delete relevant content without prior notice. In such cases, the Company notifies you of the relevant facts, and if you determine that such measures are based on errors or misunderstanding, you may submit a counter-notice according to legitimate procedures. The Company will respond appropriately according to procedures prescribed by relevant laws.

The Company may also take necessary measures such as warnings, content deletion, exposure restriction, account suspension, or permanent termination for accounts that repeatedly infringe third-party rights or post content based on clear malice or fraudulent purposes, and such judgment is at the Company's reasonable discretion.

Meanwhile, when you wish to reproduce, edit, create derivative works, distribute, transmit, or otherwise use others' content existing in ProTips, you must do so through official interfaces provided by the Company or explicitly permitted procedures, and unauthorized use outside these is strictly prohibited.

6. Permissions and Restrictions for Using ProTips Features

Within the scope of legitimately using ProTips Services according to the conditions of these Terms, you are granted a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free license to all software, features, user interfaces, content processing tools, and accompanying materials provided by the Company (hereinafter "ProTips Software"). This license may only be exercised through official features of ProTips Services and cannot claim any rights outside methods that explicitly comply with the purposes and conditions of these Terms.

You may not reproduce, modify, reverse engineer, decompile, technically analyze, rent, sell, redistribute, or use ProTips Software or its components for commercial purposes or unauthorized methods without the Company's prior written consent. This license is merely a limited and purpose-specific usage right and shall not be interpreted as any ownership transfer or implied authorization.

All components included in ProTips Software and related services overall, such as system structure, algorithms, user interface (UI/UX), databases, logos, trademarks, domains, designs, etc., are protected under the Republic of Korea "Copyright Act," "Trademark Act," "Unfair Competition Prevention Act," and international intellectual property-related laws, and such rights are explicitly attributed to the Company or the Company's affiliates and licensors. You do not acquire any ownership or usage rights to these rights by using this Service, and unauthorized use, infringement, or imitation is prohibited.

Furthermore, all ideas, suggestions, opinions, improvement requests, feature feedback, etc. that you voluntarily submit in relation to ProTips Services are considered the Company's assets from the time of provision. The Company may freely utilize such content, and you agree not to claim any rights including copyrights thereto and not to demand separate compensation, notice, or source attribution.

7. Please Respect Others' Rights

ProTips respects all forms of third-party rights including copyrights, trademark rights, design rights, portrait rights, personality rights, etc., and you also bear legal and moral responsibility not to infringe such rights when using the service. You must be careful not to infringe third-party rights according to relevant laws when creating, posting, and sharing content through ProTips, and when necessary, must secure legitimate usage rights or explicit consent from relevant rights holders in advance.

When your content is suspected of infringing third-party rights, rights holders may request deletion or access restriction through official procedures provided by the Company, and when the Company determines that such requests meet requirements under relevant laws and are submitted by legitimate rights holders, it may take measures such as temporarily blocking, deleting, or making such content private. The Company may notify you of such facts regarding these measures, but measures may be taken without prior notice according to laws or urgency.

ProTips complies with domestic and international intellectual property protection laws including the U.S. "Digital Millennium Copyright Act (DMCA)" and considers only infringement notices that include all of the following items as official requests: (i) clear identification information of the rights (including works) subject to infringement, (ii) location (URL, etc.) of content alleged to be infringing, (iii) name, contact information of the notice submitter, and materials that can prove ownership of rights, (iv) statement that "the contents of this notice are true, and I swear that I am the relevant rights holder or their legitimate representative," (v) handwritten signature or valid electronic signature.

If you determine that your content has been deleted or restricted due to errors, misunderstanding, or false reports by rights holders, you may submit a counter-notice according to relevant laws and procedures, and the Company reviews whether to restore content within reasonable scope according to relevant laws and internal policies after receiving it.

The Company may take necessary measures such as service use restriction, content deletion, account suspension, or permanent termination for accounts that repeatedly infringe third-party rights or maliciously post content that infringes others' rights, and such judgment is made according to the Company's independent discretion.

When third parties raise civil or criminal claims alleging rights infringement due to your actions or legal procedures occur, all legal responsibility and damages arising therefrom shall be entirely attributed to you. Furthermore, when the Company suffers direct or indirect damages such as legal consultation costs, litigation costs, sanction response costs, etc. for responding to such disputes, the Company may exercise rights of recourse against you.

C. Creating the ProTips Community Together

8. Essential Things to Know When Using ProTips

ProTips may change the composition, features, content, usage methods, access conditions, etc. of the service without prior notice according to technological advancement, policy decisions, or business operational necessity, or may temporarily or permanently suspend provision of part or all of the service. You agree that this Service inherently contains possibilities for change and agree not to hold the Company responsible even if damages occur due to such changes or suspensions.

You must faithfully comply with standards separately established by the Company, including these Terms, Privacy Policy, Community Guidelines, and operating policies, and when violations or concerns of violations exist, the Company may take necessary measures such as deleting your posts, restricting feature access, temporarily suspending or terminating accounts without separate prior notice. The judgment and scope of such measures are according to the Company's reasonable discretion, and you agree not to raise objections thereto.

Furthermore, the Company may set reasonable technical and operational upper limits on service usage, storage capacity, scope of available features, etc. to maintain service quality and protect community order, and may restrict access to some services according to specific content types, usage regions, account conditions, etc. Such restrictive measures are considered essential means for normal service operation and protection of all users, and when necessary, the Company may notify you afterwards.

You agree that the Company may post or expose advertisements, partnership content, sponsored messages, promotional information, etc. on service screens or around content when using ProTips Services. This is included as an essential component of service provision regardless of whether it is paid or free, and you acknowledge that the Company operates the service based on such revenue structure and confirm that you cannot demand separate compensation or refuse service use for this.

The Company may review, analyze, store your service usage information, registration information, public content, and other related information, or provide it to third parties or related institutions within the scope permitted by relevant laws for the following purposes: (i) implementing relevant laws, regulations, or orders from courts or administrative agencies, (ii) checking compliance with policies such as these Terms and Community Guidelines and enforcing violations, (iii) detecting and responding to security threats, fraudulent acts, technical failures, etc., (iv) customer response such as user requests, complaint handling, technical support, etc., (v) protecting rights, property, and safety of the Company, users, third parties, or the public.

However, information that can identify individuals is strictly protected according to the "Personal Information Protection Act" and the Company's Privacy Policy and is not provided to third parties without your explicit consent. All such information collection and use goes through prior notice or consent procedures, and you may check detailed contents in the Privacy Policy at any time.

In the future, the Company may provide additional features for service expansion such as APIs, developer tools, advertising management systems, etc., and when you selectively use such features, separate detailed terms or operating policies may apply. In such cases, detailed terms have the same effect as these Terms, and when contents conflict, detailed terms specific to the relevant features take precedence.

Finally, when you wish to reproduce, edit, create derivative works, distribute, or transmit content in ProTips, you must do so according to official interfaces provided by the Company or explicitly permitted methods, and unauthorized use beyond these is strictly prohibited. The Company may take necessary responses including immediate service restriction, content deletion, account suspension, or civil and criminal legal measures for such violations.

9. Abuse Cases and Corresponding Measures

You must use ProTips Services in a sound and responsible manner and must not engage in any acts that threaten or have the potential to threaten the Company's systems, features, data, networks, algorithms, or others' rights and safety. In particular, the following acts are prohibited and not limited to: (i) acts of abnormal use contrary to the legitimate purposes and intent of the service, (ii) acts of collecting content through automated means such as scripts, bots, crawlers, or repeatedly performing large-scale requests, registrations, deletions, etc., (iii) attempts at reverse engineering, decompiling, reverse design, etc. to neutralize the Company's technical protective measures or analyze system structure, (iv) acts of unauthorized use or theft of others' accounts, authentication information, or access rights, (v) acts of exploiting system errors, bugs, security vulnerabilities, protocol flaws, etc. to gain unfair benefits or spread them to third parties, (vi) acts of intentionally distorting Company systems or community features or infringing service stability through repetitive malicious testing, (vii) all other acts violating relevant laws, these Terms, and Community Guidelines.

When you discover technical vulnerabilities in ProTips as a security researcher or developer, such facts must be reported legitimately through official channels established by the Company (e.g., bug bounty programs, etc.). In such cases, your actions may be legitimately protected or compensated according to the scope and procedures of reporting, but security testing, system penetration, traffic manipulation, data extraction, etc. performed without the Company's prior written consent are all considered security violation acts, and the Company may take strong responses including civil and criminal legal measures.

If you violate this provision, the Company may take measures such as immediately suspending your account, blocking service access, restricting feature use, deleting related content, or initiating legal procedures without prior notice. Such measures are determined according to the Company's independent and reasonable discretion, comprehensively considering the severity, repetitiveness, level of technical threat, occurrence of damages to others, etc.

In particular, when this provision is repeatedly violated or significant harm is caused to ProTips' service stability, data security, or user rights, your account will be permanently suspended without separate notice, and the Company may exercise all possible legal means such as damage compensation claims and criminal charges. The Company bears no responsibility for disadvantages, damages, or losses arising therefrom, and all responsibility shall be entirely attributed to you.

10. About ProTips' Limitation of Liability

ProTips is a digital platform that supports autonomous content creation and communication among users, and this Service is provided "as is" and "as available." The Company provides no express or implied warranties regarding the accuracy, completeness, continuity, stability, security, or fitness for your specific purposes of this Service and bears no legal responsibility related thereto.

You may be exposed to various information such as others' content, messages, opinions, external links, advertisements, etc. in the course of using the service and may face discomfort, confusion, disagreements in information interpretation, or content contrary to facts, and you understand and agree that responsibility for all consequences arising therefrom shall be entirely attributed to you. The Company bears no civil or criminal responsibility for illegal acts such as impersonation, fraud, defamation, hate speech, copyright infringement, harassment, false fact dissemination, etc. occurring during user interactions and has no obligation to intervene therein.

Furthermore, even if the service is temporarily suspended or features are restricted due to the following reasons and damages such as content loss, data corruption, access restriction, business opportunity loss, revenue decrease, etc. occur as a result, the Company bears no legal responsibility: (i) system inspection, security updates, technical failures, or changes for service improvement purposes, (ii) amendments to relevant laws or orders from administrative or judicial agencies, (iii) force majeure circumstances such as natural disasters, power outages, network failures, hacking, DDoS attacks, etc.

Within the maximum scope permitted by relevant laws, the Company and its affiliates, parent companies, subsidiaries, officers and employees, partners, licensors, agents, etc. (all legal entities directly or indirectly connected to ProTips, hereinafter "Company-related parties") bear no legal responsibility for indirect, incidental, special, punitive, or consequential damages arising from the following reasons: (i) inability to access or use the service, (ii) damages due to others' illegal acts or illegal content, (iii) damages arising from information, content, features, etc. provided through or used by you in this Service, (iv) unauthorized access, alteration, loss, or destruction of your account, content, personal information. Such damages include infringement of tangible and intangible assets such as data loss, loss of trust, business opportunities or revenue loss, reputation or fame damage, etc., and apply equally regardless of whether such damages were foreseeable.

Furthermore, in any case, the total damage compensation liability that the Company or Company-related parties bear to you shall not exceed the larger of the following amounts: (i) the amount you actually paid to the Company for using ProTips Services in the 6 months immediately before such damage occurred, or (ii) USD 100.

You agree to defend, indemnify, and fully compensate the Company and Company-related parties for third-party legal claims, rights infringement, disputes, damages, and all costs including attorney fees arising from violations of these Terms, relevant laws, the Company's community policies, or your representations and warranties by you or your account (including accounts you directly or indirectly control or have access to).

Separately, all communication charges (e.g., text message transmission, data usage, etc.) incurred in relation to your use of this Service are entirely your burden, and responsibility for such charges is according to contracts concluded between you and your telecommunications carrier.

You acknowledge that others' content may contain inaccurate, unpleasant, illegal, or defamatory content in the course of using ProTips and expressly agree that the Company and Company-related parties bear no legal responsibility for disadvantages or damages arising therefrom.

The limitation of liability and indemnification stipulated in this provision apply equally regardless of the cause of action such as contractual claims, torts, negligence, warranty breach, legal violations, etc., and continue their effect even after your account withdrawal or termination of these Terms. However, this provision's limitations do not apply in the following cases: (i) damages due to the Company's fraud, intent, or gross negligence, (ii) death or bodily injury due to acts of the Company or Company-related parties, (iii) liability where exemption is restricted or prohibited under relevant laws.

This provision does not limit legitimate rights granted to you under relevant consumer protection laws and does not affect liability that is not legally permitted to be excluded.

11. How Damages Are Handled When They Occur

ProTips regards protection of user data and stability of system resources as core operating principles and reserves the right to prevent damages that may arise from violations of these Terms and to respond promptly when actual damages occur. If you violate these Terms or induce or aid others' violations, the Company may exercise all legal remedies within the scope permitted by relevant laws, and you shall bear contractual damage compensation liability accordingly.

If damages occur to the Company due to your use of ProTips Services contrary to their original purpose and intent, interference with the Company's platform operation, or use of the service in ways that cause damages to other users or third parties, you shall bear full responsibility for all damages to the Company including the following items: (i) direct and indirect damages, (ii) technical and operational costs necessary for system recovery or prevention, (iii) opportunity costs due to revenue loss and business disruption, (iv) recovery costs due to data loss or alteration, (v) all costs incurred for legal responses such as investigation, litigation, attorney fees, etc.

In particular, when you or your representatives cause the risk of system overload or data leakage by unauthorized requests, collection, inquiry, or access to 50,000 or more pieces of content (including videos, images, text, comments, etc.) within the ProTips platform within 24 hours, you shall be liable to pay damage compensation of USD 20,000 per 50,000 such acts jointly or individually. This is considered a pre-reasonably calculated damage estimate based on the following criteria and is damage compensation measures for actual loss recovery, not civil penalties: (i) calculation based on the possibility of technical and operational damages that may be inflicted on the Company's system, (ii) standard setting to prevent the spread of potential damages due to your violation acts, (iii) damage compensation liability under these Terms is not limited to monetary compensation and may extend to claims for legal damages, injunctive relief, and other equitable remedies.

When third parties file legal claims against the Company, disputes arise, or administrative investigations or judicial procedures are initiated due to your actions, you must faithfully cooperate in such procedures upon the Company's request and bear full responsibility for compensating all damages, costs, fines, attorney fees, and other incidental costs incurred by the Company as a result. In this case, the Company may exercise rights of recourse against you.

Furthermore, when you use the ProTips platform to infringe others' rights (including but not limited to copyrights, trademark rights, portrait rights, personality rights, personal information, etc.) or engage in illegal acts such as fraud, defamation, illegal information distribution, etc., all civil and criminal legal responsibility therefor shall be entirely attributed to you, and the Company bears no legal responsibility therefor.

When the Company determines that you have violated these Terms, relevant laws, or the Company's community policies, it may take necessary sanctions such as warnings, content deletion, feature restriction, temporary account suspension or termination, damage compensation claims, etc. according to its own judgment criteria, and you agree not to raise objections thereto. Such sanctions may be implemented immediately without prior notice, and the scope and level of sanctions are determined according to the Company's discretion considering the content and degree of violation acts, recurrence, etc.

D. Account Termination and Terms Change Notice

12. About Account Deletion and Service Termination

You may voluntarily delete your account and terminate this service use contract at any time through the settings menu in ProTips Services or according to procedures separately guided by the Company. When you request account deletion, personal information and related data linked to the account are stored for a certain period according to the Company's Privacy Policy and relevant laws, then safely destroyed in an irreversible manner. However, content created through interaction with other users or information necessary for service operation may be separately stored for a certain period or may not be deleted according to legal obligations or legitimate reasons, and you agree not to raise separate objections thereto.

The Company may restrict your service use or temporarily suspend or permanently terminate your account without prior notice when determining that you fall under any of the following reasons, and the scope and method of such measures are determined according to the Company's reasonable judgment: (i) when you significantly violate these Terms, Privacy Policy, Community Guidelines, or other operating policies, (ii) when you repeatedly infringe third-party rights or continuously engage in illegal acts, (iii) when access or automated acts that pose significant harm to system security or platform stability are detected, (iv) when you use others' accounts or authentication information without authorization or steal identities, (v) when significant interference with normal service operation or community order occurs.

Furthermore, when your account remains unused for an extended period, the Company may convert the account to dormant status or delete it, and prior notification and grace procedures for this are according to relevant laws and Company policies. After account termination or deletion, content created through the account is principally made private and cannot be restored after a certain period. However, content you explicitly set as public or posts created through interaction with other users may not be deleted to protect the other party's rights and maintain service continuity.

All judgments and measures related to account suspension, termination, content preservation, data deletion scope, etc. are made entirely according to the Company's reasonable operational discretion, and you expressly agree not to hold the Company and Company-related parties responsible for any civil or criminal liability for content access restrictions, feature unavailability, data loss, etc. that may arise therefrom.

13. Other Important Legal Matters

The Company may amend these Terms when necessary reasons arise such as continuous service improvement, amendments to relevant laws or regulations, changes in policy direction, etc., and amended Terms take effect from the publication date or separately designated effective date. Term amendments are not applied retroactively, and the latest term contents can be checked at www.protips.co.kr/terms at any time.

For amendments that include matters with significant impact on your rights and obligations, the Company provides advance notice through methods the Company deems appropriate such as in-service announcements, email, push notifications, etc., and for essential changes such as paid service conversion, expansion of personal information utilization scope, etc., may provide guidance through explicit consent methods such as in-app popups or login confirmation procedures. If you continue to use the service after confirming notified amendment contents, you are deemed to have agreed to the relevant amended Terms.

When disputes arise between you and the Company regarding this Service, you must initiate claims or legal procedures within one year from the date the cause occurred, and when this period expires, related rights are considered extinguished by statute of limitations.

Even if some provisions of these Terms are determined invalid or unenforceable by a competent court, such provisions are interpreted as valid within the maximum scope permitted by relevant laws and do not affect the validity of remaining provisions. Furthermore, the Company's failure to exercise rights under these Terms or delay in their implementation shall not be interpreted as waiver of such rights or restrictions on future exercise of rights.

The Company may transfer or delegate all or part of rights or obligations under these Terms to third parties without prior notice, and you may not transfer or assign any rights or obligations under these Terms to third parties without the Company's prior written consent.

These Terms constitute a complete and independent legal agreement concluded between you and the Company, and any prior oral or written representations, agreements, or explanations not specified in these Terms do not take precedence over these Terms.

The interpretation and application of these Terms are governed by Republic of Korea laws, and for all disputes arising between you and the Company regarding this Service, Seoul Central District Court shall be the court of exclusive jurisdiction for first instance. However, the Company reserves the right to separately file suit in competent courts located at your address or residence.
